Terms of Service

Please read these Terms of Service carefully before using the Services. These Terms of Service apply to all users of the Services. If you are using the Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind such organization to these Terms of Service and you agree to be bound by these Terms of Service on behalf of such organization. Agreeing to use the Services by clicking “Sign up” constitutes your acceptance and agreement to be bound by these Terms of Service, and all other operating rules, policies and procedures that may be published from time to time on the Website by us, each of which is incorporated by reference and each of which may be modified from time to time without notice to you. You acknowledge receipt of our Privacy Policy. If you ordered the Services on the Website, use the Website, or otherwise engage in any electronic transaction with respect to the Services, then you agree to receive any updates to our Privacy Policy by accessing the Website. By using our Website or purchasing our products or services, you agree that we may use and share your personal information in accordance with the terms of our Privacy Policy.

By submitting any information on this site, whether it be registering, contacting us, placing an order, or allowing non-secured information in your browser’s cache, the Customer hereby agrees to the following:

In consideration for services to be delivered, the Customer agrees and understands the following terms:

  • Payment for services must be rendered in advance of each month, quarter, or year of the service term.
  • Future automatic payment will be processed if a credit card is used unless otherwise indicated to DigiTimber by removing the credit card token from our system.
  • The service term selected on the online order form, or via applicable promo codes, is the minimum payment term.
  • All domain purchases are for a 1 year minimum term and are non-refundable.
  • All service refunds are dependant on term of payment. We cannot prorate services below a single month regardless of payment term.
  • All payments for service must be received no later than 30 days from invoice. Services are suspended after 7 days of late payment and a late fee may be assessed.
  • Non-payment of services after 30 days shall result in termination of the unpaid service.
  • After termination of the account, the content and domain(s) will be assessed a release fee.
  • The release fee, any and all late fees, and all other back invoices on the account, must be paid in full before DigiTimber will release any content or domain(s).
  • Depending on service type, unless othewise requested by writing, customer backup data is retained for 30 days after termination.
  • DigiTimber reserves the right to terminate service immediately to any subscriber it deems, in its sole discretion, violates any condition of service, including this Terms of Service without refund.

Eligibility & Registration

The Services are not targeted towards, nor intended for use by, anyone under the age of 13. By using the Services, you represent and warrant that you are 13 years of age or older. If you are under the age of 13, you may not, under any circumstances or for any reason, use the Services. We may, in our sole discretion, refuse to offer the Services to any person or entity and change its eligibility criteria at any time. You are solely responsible for ensuring that these Terms of Service are in compliance with all laws, rules and regulations applicable to you and the right to access the Services is revoked where these Terms of Service or use of the Services is prohibited or to the extent offering, sale or provision of the Services conflicts with any applicable law, rule or regulation. Further, the Services are offered only for your use, and not for the use or benefit of any third party.

To sign up for the Services, you must register for an account on the Services (an “Account”). You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or (iii) use, as a username, a name that is otherwise offensive, vulgar or obscene. You are solely responsible for the activity that occurs on your Account, regardless of whether the activities are undertaken by you, your employees or a third party (including your contractors or agents), and for keeping your Account password secure. You may never use another person’s user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services (including any changes to or revocation of any licenses from state, provincial, territorial or other authorities), breach of security or unauthorized use of your Account. You should never publish, distribute or post login information for your Account. You shall have the ability to delete your Account, either directly or through a request made to one of our employees or affiliates. You agree to provide accurate information in your registration and not to share your password with third parties. You agree not to impersonate another person or to select or use a user name or password of another person. You agree to notify us promptly of any unauthorized use of your account and of any loss, theft or disclosure of your password. Failure to comply with these requirements shall constitute a breach of these Terms of Service and shall constitute grounds for immediate termination of your account and your right to use the Website. DIGITIMBER WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE AS A RESULT OF YOUR FAILURE TO PROVIDE US WITH ACCURATE INFORMATION OR TO KEEP YOUR ACCOUNT SECURE.

Prohibited Content

Customers shall not allow the posting, transmission, or storage of data and content on or through the services which, in DigiTimber’s sole determination, constitutes a violation of any relevant law, regulation, ordinance, or court order. Customers shall be responsible for determining what laws or regulations are applicable to their use of the services. Prohibited content includes, without limitation, (a) content or code that facilitate any violation of, or describe ways to violate, this ToS or (b) “harvested” addresses or information about customers or others, (c) “phishing” web sites, (d) “link farms” or (e) “spamvertising” sites.

You agree that you will not transmit, distribute, post, store, link, or otherwise traffic in Content, information, software, or materials on or through the Service that (i) is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, offensive, profane, contains or depicts pornography that is unlawful, or is otherwise inappropriate as determined by us in our sole discretion, (ii) you know is false, misleading, untruthful or inaccurate, (iii) constitutes unauthorized or unsolicited advertising, (iv) impersonates any person or entity, including any of our employees or representatives, or (v) includes anyone’s identification documents or sensitive financial information.

You shall not: (i) take any action that imposes or may impose (as determined by us in our sole discretion) an unreasonable or disproportionately large load on our (or our third party providers’) infrastructure; (ii) interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services; (iii) bypass, circumvent or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the Services (or other accounts, computer systems or networks connected to the Services); (iv) run any form of auto-responder or “spam” on the Services; (v) use manual or automated software, devices, or other processes to “crawl” or “spider” any page of the Website; (vi) harvest or scrape any Content from the Services; (vii) use the Services for high risk activities including but not limited to the operation of nuclear facilities, air traffic control, life support systems, or any other use where the failure of service could lead to death, personal injury, or environmental damage; or (viii) otherwise take any action in violation of our guidelines and policies.

You shall not (directly or indirectly): (i) decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Services (including without limitation any application), except to the limited extent applicable laws specifically prohibit such restriction, (ii) modify, translate, or otherwise create derivative works of any part of the Services, or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder. You shall abide by all applicable local, state, national and international laws and regulations.

We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce these Terms of Service, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of us, our users and the public.

System and Network Security

Violations of system or network security are strictly prohibited, and may result in criminal and civil liability. DigiTimber investigates all incidents involving such violations and will cooperate with law enforcement if a criminal violation is suspected.

Examples of system or network security violations include, without limitation, the following:

  1. Introduction of malicious programs into the network or server (example: viruses, worms, Trojan Horses, key loggers, and other executables intended to inflict harm).
  2. Effecting security breaches or disruptions of Internet communication and/or connectivity. Security breaches include, but are not limited to, accessing data of which the Customer is not an intended recipient or logging into a server or account that the Customer is not expressly authorized to access. For purposes of this section, “disruption” includes, but is not limited to port scans, flood pings, e-mail bombing, packet spoofing, IP spoofing and forged routing information.
  3. Executing any form of network activity that will intercept data not intended for the Customer’s server.
  4. Circumventing user authentication or security of any host, network or account, including “cracking”.
  5. Interfering with or denying service to any user, host, or network other than the Customer’s host (example: denial of service attack or distributed denial of service attack).
  6. Conduct designed to avoid restrictions or access limits to specific services, hosts, or networks, including but not limited to the forging of packet headers (“spoofing”.) or other identification information.
  7. Using any program script/command, or sending messages of any kind, designed to interfere with or to disable, a user’s terminal session, via any means, locally or via the Internet.
  8. Failing to comply with the DigiTimber’s procedure relating to the activities of Customers on the DigiTimber’s premises. Violators of the policy are responsible, without limitations, for the cost of labor to correct all damage done to the operation of the network and business operations supported by the network. Such labor is categorized as emergency security breach recovery and is currently charged at $300.00 USD per hour required. Network interference by any Customers that may cause or is currently causing network interference with another Customer will be disconnected immediately. No service credits will be issued to Customers disconnected for network violations.

E-mail Policy

Mass Mailings: DigiTimber has a zero stance policy on SPAM, Junk E-mail or UCE. Spam, Junk-mail and UCE are defined as: the sending of the same, or substantially similar, unsolicited electronic mail messages, whether commercial or not, to more than one recipient. A message is considered unsolicited if it is posted in violation of a newsgroup charter or if it is sent to a recipient who has not requested or invited the message. UCE also includes e-mail with forged headers, compromised mail server relays, and false contact information. This prohibition extends to the sending of unsolicited mass mailings from another service, which in any way implicates the use of DigiTimber whether or not the message actually originated from our network.

The DigiTimber mail servers can be configured to allow for opt-in mass mailings, although mailing lists are preferred. If you would like to inquire about this service, please contact us.

Mailing Lists: DigiTimber’s mass mailing rules also apply to mailing lists, list servs, or mailing services you may contract with. The policy is stated as follows: An acceptable mailing list will be focused at a targeted audience that has voluntarily signed up for your e-mail information or that has made their e-mail address available for distribution of information from you. The list must also allow for automatic removal by all end Customers with non-distribution in the future.

If your actions have caused DigiTimber mail servers or DigiTimber IP address ranges to be placed on blackhole lists and other mail filtering software systems used by companies on the internet, you will be assessed a $125 charge to your account and $50 per hour for administrative charges incurred to remove and protect mail servers and IP ranges.

Violation of the above terms will result in one or all of the following:

  • A warning from via e-mail or phone.
  • Removal of DNS for the advertised / originating site.
  • Immediate disconnection of service with no re-activation.
  • $125 fee assessed to your account for violation.

Copyright Infringement

DigiTimber service accounts may only be used for lawful purposes. Transmission, distribution, or storage of any information, data or material in violation of United States or state regulation or law, or by the common law, is prohibited. This includes, but is not limited to, material protected by copyright, trademark, trade secret, or other intellectual property rights. Creating, utilizing, or distributing unauthorized copies of software are a violation of federal and state law. If you copy, distribute or install the software in ways that the license does not allow, you are violating federal copyright law. DigiTimber will cooperate with all law enforcement agencies in relation to alleged copyright infringement housed in our datacenters.

Server Resources

Should your account utilize an excessive amount of server resources (including, but not limited to, CPU processing time, memory usage and network resources) for a sustained period of time, DigiTimber reserves the right to request that you either upgrade your web hosting service package or reduce your account’s use of resources to an acceptable level. DigiTimber will be the sole arbiter of what is considered to be an excessive amount of server resources. DigiTimber reserves the right to suspend or shut down any web hosting account deemed to adversely affect server performance or network integrity. In addition, Customers may not run network-accessible servers or other daemons from shared hosting accounts. Customer accounts and data on the shared hosting service should only be made accessible from the services provided by DigiTimber. If you wish to run your own server, and thus your own services, please look into our Cloud Servers product line.

Suspension and Cancellation

DigiTimber reserves the right to suspend service to any Customer for violation of the Terms of Service. DigiTimber will use reasonable care in notifying the Customer and in resolving the problem in a method resulting in the least amount of service interference as reasonably possible. DigiTimber reserves the right to terminate service without notice for continued and repeated violations of the ToS or repeated lack of payment on overdue accounts. Continued violations of the TOS resulting in cancellation of services will also result in a fee in the amount of $100 and contract acceleration for all amounts outstanding under the contract term. 

Payments and Billing

We use third-party payment processors (the “Payment Processors”) to bill you through a payment account linked to your Account on the Services (your “Billing Account”) for use of the paid Services. The processing of payments may be subject to the terms, conditions and privacy policies of the Payment Processors in addition to this Agreement. We are not responsible for error by the Payment Processors. By choosing to use paid Services, you agree to pay us, through the Payment Processors, all charges at the prices then in effect for any use of such paid Services in accordance with the applicable payment terms and you authorize us, through the Payment Processors, to charge your chosen payment provider (your “Payment Method”). You agree to make payment using that selected Payment Method. We reserve the right to correct any errors or mistakes that it makes even if it has already requested or received payment

Service Level Agreement

DigiTimber endeavors to have network connectivity available for HTTP access by third parties 99.999% of each month (“Web Site Availability”). In the event that there is no Web Site Availability, DigiTimber will credit the monthly service charge for the Service at the rate of 5% for every 30 minutes past 99.999% availability in a given month. Credits shall not be provided in the event that there is no Web Site Availability resulting from (i) scheduled maintenance, (ii) Customer behavior or the performance or failure of Customer applications, or (iii) circumstances beyond DigiTimber’s reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of interruption or delay in telecommunications or third party services (including DNS propagation). DigiTimber is not responsible for any additional loss and/or damage as a result of no Web Site Availability. While DigiTimber attempts to keep regular backups of data stored on our systems, DigiTimber does not guarantee the existence, accuracy, or regularity of its backup services and, therefore, the client is responsible for making backups of data. DigiTimber does not guarantee that its backup procedures will prevent the loss of, alteration of, or improper access to our clients’ information.

Access Policy and Exports

Customer agrees to comply with all export and import laws and regulations of the United States and other applicable jurisdictions. Without limiting the foregoing, (i) Customer represents and warrants that it is not listed on any U.S. government list of prohibited or restricted parties or located in (or a national of) a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a “terrorist supporting” country, (ii) Customer will not (and will not permit any third parties to) access or use any Service in violation of any U.S. export embargo, prohibition or restriction, and (iii) Customer will not submit to any Service any information that is controlled under the U.S. International Traffic in Arms Regulations.

Access to DigiTimber services may be restricted in areas outside the United States in order to protect our services. As of January 2020, no email may be sent using our primary server (SMTP on 465 or 587) from outside of the United States. This is to protect our users from local relay spam that originates for all over the world. If you are affected by this limitation, you may use a VPN connection to the United States or use our webmail interface.

Reseller Policy

Resellers are responsible for the conduct of their Customers and by agreeing with these Terms of Service, agree that their Customers will adhere to the Terms of service as well. Resellers should make their perspective Customers aware of the Terms of Service and the consequences for violation.

Data Retention and Backup Policy

DigiTimber endeavors to maintain all data on our services and retain information in case of disasters. However, data is not available to customers. Customers are provided with their own backup methods via the individual services. DigiTimber is in no way responsible for data loss while using our service. DigiTimber does offer data recovery for a nominal fee, please contact support for these services. DigiTimber will attempt to backup all website and email content, as long as the size of the data is not significant in regards to resources utilization.

Indemnification

Customer agrees that it shall defend, indemnify, save and hold DigiTimber harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys’ fees, (“Liabilities”) asserted against DigiTimber, its agents, its customers, servants officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless DigiTimber against Liabilities arising out of any injury to person or property caused by any products sold or otherwise distributed in connection with DigiTimber’s service, any material supplied by Customer infringing or allegedly infringing on the proprietary rights of a third party, copyright infringement, or any defective product which Customer sold on DigiTimber’s service. 

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to choice of law provisions that would cause the application of the law of another jurisdiction.
